Notice is hereby given that the 78th Annual General Meeting of Kenya Fuel & Bark Supply PLC will be held via electronic communication, on Friday 21st August 2026 at 11.00 a.m. to transact the following business:

  1. The Secretary to read the Notice convening the meeting and determine if a quorum is present.
  2. Confirmation of Minutes — To confirm the minutes of the 77th Annual General Meeting held on 22nd August 2025.
  3. Financial Statements — To receive, consider and adopt the audited Financial Statements for the year ended 31 December 2025 together with Chairman’s, Directors’ and Auditor’s Reports thereon.
  4. Declaration of Dividend — To declare a first dividend of Shs 100 per share for the financial year ended 31st December 2025.
  5. Election of Directors — To elect Directors: (i) Mr. John Mugo Kiragu, a director retiring on rotation in accordance with articles 86 and 87 of the Company’s Articles of Association and, being eligible, offers himself for re-election. (ii) Peter Kamau Maina, a director retiring on rotation in accordance with article 86 and 87 of the Company’s Articles of Association and, being eligible, offers himself for re-election.
  6. Directors Remuneration — To approve the Directors’ remuneration as indicated in the financial statements for the year ended 31st December 2025.
  7. Auditors — To appoint Ms. Wokabi & Company as the Auditors of the Company in accordance with Section 721(2) of the Companies Act 2015 and to authorize the Directors to fix their remuneration.
  8. Any Other Business.
